The terms below are the terms of quotation and sale used by Edmundson Industrial LLC. They are the same terms printed on page 2 of every quote we issue.
Which document controls. If anything on this page differs from the terms printed on your quote, the terms on your quote govern that transaction. This page is published for reference and may be updated. Nothing here modifies a quote or order already accepted in writing.
Terms & Conditions of Quotation and Sale
- Quotation only. This document is a quote for the buyer's consideration and is not an offer to sell, a contract, or a reservation of goods. A binding order arises only upon Edmundson Industrial LLC's written acceptance of the buyer's purchase order. These terms govern any resulting sale and supersede conflicting terms on buyer documents unless agreed in writing.
- Validity. Prices and terms are valid for 30 days from the quote date unless stated otherwise or withdrawn earlier, and are subject to change after that date.
- Availability / prior sale. All items are offered subject to prior sale and availability. Surplus, used, and reconditioned items are limited in quantity and may sell or become unavailable before an order is placed. Availability and quantity are confirmed only upon order acceptance.
- Pricing. Prices are based on supplier costs and availability at the time of quotation and are subject to change or re-confirmation at the time of order. Edmundson Industrial may re-quote or decline if cost, availability, or specifications change. All prices are in U.S. dollars.
- Estimated ship dates. Stated ship dates and lead times are good-faith estimates based on supplier information and are not guaranteed. Edmundson Industrial is not responsible for delays caused by suppliers, carriers, or other causes beyond its reasonable control. Time is not of the essence unless expressly agreed in writing.
- Freight & delivery. Unless stated otherwise, prices are FOB Origin (Houston, TX). Any freight shown is an estimate subject to change based on final weight, dimensions, carrier rates, and destination. Title and risk of loss pass to buyer upon delivery to the carrier. Shipping, insurance, duties, and special handling are the buyer's responsibility.
- Taxes. Prices exclude applicable sales, use, and other taxes, which are the buyer's responsibility unless a valid exemption certificate is provided.
- Condition & identification. Item condition (new, new-surplus, used-tested, reconditioned, or sourced-to-order) is as described and disclosed before sale. Manufacturer names, brands, and part numbers are used for reference and identification only. Edmundson Industrial LLC is an independent supplier and is not an authorized distributor of any manufacturer unless expressly stated. Cross-references are a starting point only; buyer is responsible for verifying suitability, ratings, fitment, and compliance against the equipment nameplate and application before installation or use.
- Warranty. Except as expressly stated in writing, goods are sold AS-IS in the condition described. Edmundson Industrial disclaims all other warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose. Any limited warranty on used-tested or reconditioned items is limited to functional replacement or refund of the item price for 30 days from delivery.
- Returns. Returns require prior written authorization (RMA) and may be subject to a restocking fee. Special-order and sourced-to-order items are non-cancelable and non-returnable.
- Limitation of liability. Edmundson Industrial's total liability for any claim shall not exceed the purchase price of the specific item giving rise to the claim. In no event is Edmundson Industrial liable for incidental, special, indirect, or consequential damages, including loss of use, downtime, lost production, or lost profits.
- Payment. Payment terms are as stated; absent approved credit terms, payment is due prior to shipment. Past-due amounts may accrue a service charge of 1.5% per month or the maximum allowed by law. Net terms subject to approved credit.
- Governing law. This quote and any resulting sale are governed by the laws of the State of Texas, with exclusive venue in Harris County, Texas.
Equipment condition definitions
Every item we quote is graded and the grade is stated before sale. These are the grades we use.

| New | Unused equipment obtained through the supply chain, in original manufacturer packaging where available. |
| New-surplus | Unused equipment from excess, overstock, or discontinued inventory. Never installed or placed in service. May show shelf wear and may not be in original packaging. Manufacturer warranty generally does not apply. |
| Used-tested | Equipment previously installed and removed from service, then inspected and functionally tested before sale. Cosmetic wear is expected and normal. |
| Reconditioned | Previously installed equipment that has been inspected, cleaned, had worn or failed components replaced as required, and functionally tested before sale. Where reconditioning is performed by a supplier, any supplier warranty that applies is stated on the quote. |
| Sourced-to-order | Not stock. Located and procured against a specific order. The condition grade is stated on the quote and confirmed before shipment. These items are non-cancelable and non-returnable under clause 10. |
A condition grade describes the state of the equipment as supplied. It is not a statement of certification, type approval, or hazardous-area suitability. Buyer verifies suitability, ratings, and fitment against the nameplate and the application before installation or use.
Same-day order cutoff
A purchase order for stocked items received and accepted by 3:00 PM Central Time on a business day ships the same business day. Orders received after the cutoff, or on weekends and holidays, ship the next business day.
Same-day shipping applies only to items in stock at the time the order is received. Items that are not in stock ship against the estimated ship date on the quote, which is a good-faith estimate under clause 5 above and is not guaranteed. If we cannot meet the cutoff on your order, you will hear that from us before you commit, not after. See rush & emergency for how we handle downtime calls.
Independent supplier status
Edmundson Industrial LLC is an independent supplier of new, surplus, used, and reconditioned industrial electrical equipment. Edmundson Industrial LLC is not an authorized distributor, representative, or affiliate of any manufacturer referenced on this website unless expressly stated in writing.
Trademarks
All product names, brand names, trademarks, and registered trademarks are the property of their respective owners. Manufacturer names, brand names, and part numbers are used for identification, reference, and cross-reference purposes only, and do not imply any affiliation with or endorsement by the trademark holder.
Part numbers & cross-references
Part numbers and cross-references are provided to help identify equipment and are believed to be accurate, but should be verified against the nameplate before purchase. Edmundson Industrial LLC makes no warranty that a referenced or cross-referenced part is identical to or interchangeable with any original equipment unless confirmed in writing for a specific order.
